General Terms and Conditions of Sale

Thank you for your order, which we accept exclusively under the following delivery and payment conditions.

I. Scope

1. These terms and conditions of sale apply exclusively to entrepreneurs, legal entities under public law, or special funds under public law within the meaning of Section 310 (1) of the German Civil Code (BGB). We do not recognize any terms and conditions of the purchaser that conflict with or differ from our terms and conditions unless we have expressly agreed to their validity in writing.
2. These terms and conditions shall also apply to all future transactions with the purchaser, provided that they are legal transactions of a related kind.
3. Individually agreed terms with the buyer (including side agreements, additions, and amendments) always take precedence over these terms. Such agreements require written confirmation unless otherwise proven.

II. Offer and Conclusion of Contract

The order is considered an offer pursuant to Section 145 BGB. We may accept this offer within two weeks, at the latest by dispatching the goods.

III. Provided Documents

We reserve ownership and copyright of all documents provided to the purchaser in connection with placing the order – including electronic files, calculations, drawings, etc. These may not be made accessible to third parties without our express written consent.

IV. Prices and Payment / Shipping Costs

1. Unless otherwise agreed, our prices are ex warehouse plus applicable VAT.
2. If shipping costs apply, they are net prices plus VAT:
   • Germany: €4.99 for net order values below €50
   • EU countries: €14.99 for net order values below €150
   • United Kingdom: €29.99 for net order values below €2,000; for orders above €2,000 net, ak tronic Software & Services will cover the shipping costs
   Delivery to the United Kingdom is made according to DAP (Delivered at Place). The buyer is responsible for customs clearance costs. Export declarations via ATLAS are handled by ak tronic Software & Services GmbH.
3. Payment must be made exclusively to the specified account. Discounts are only allowed with a written agreement.
4. Unless otherwise agreed, the purchase price is due within 14 days from the invoice date. Default interest of 8% above the respective base rate p.a. will be charged. We reserve the right to claim further damages caused by delay.
5. The prices valid at the time of the order apply. There is no entitlement to retrospective or future price reductions. Any price adjustments before dispatch are voluntary and non-binding.

V. Right of Retention

Offsetting is only permitted if the counterclaims are legally established, undisputed, or recognized by us in writing.

VI. Performance Obligation, Delivery, Delivery Delay

1. Fulfillment of our performance obligations occurs by dispatching the goods from our warehouse.
2. Partial deliveries are permissible if reasonable for the purchaser.
3. Our obligation to perform is limited to the goods available in stock. There is no obligation to procure further goods.

In particular, we are not obliged to reorder identical goods from our suppliers.

VII. Delivery Time

1. The delivery period begins only once the purchaser has fulfilled all required obligations properly and on time. We reserve the right to plead non-performance of contract.
2. If the purchaser is in default of acceptance or culpably violates other duties of cooperation, we are entitled to claim compensation for resulting damages. The risk of accidental loss or deterioration passes to the purchaser at the time they are in default
